Do you need Visual Studio 2005 to create asp.net 2.0 code or can you upgrade
Visual Studio 2003 to produce ASP.net 2.0 code.

To visually use the 2.0 objects in code, yes.
You can also write your code in Notepad, but that isn't visual.

You could also use Visual Web Developer ( free ) to write ASP.NET 2.0 code.
It's the same IDE used by Visual Studio to create ASP.NET 2.0 apps.

No, Visual Studio 2005 works with ASP.NET 2.0. Visual Studio 2003 does not
really support ASP.NET 2.0.
