I have span and Textarea fields...

How can I disable and gray out those dynamically using DHTML

when I called disabled = true it makes it readonly and does not gry out....

ASP knows nothing of DHTML.

Please ask in an apropriate NG.

per my knowledge most of the ASP pogrammers do DHTML too...

No problem if you made a mistake, we all do,
but posting in the wrong NG,
and still complaining when shown so,
while saying you knew it was wrong,
does not become you.

That does not mean we will answer off-topic questions. We have focussed
newsgroups for a reason. Given this reply, it sounds as if you knew you were
posting an off-topic question, so I'm tempted not to reply. However:

I suspect you will need to use css attributes to solve your problem.
Follow up in a client-side group such as .scripting.jscript
